1. Agreement to these terms

These Terms of Service (“Terms”) are an agreement between you and Neo Flipbook (“Neo Flipbook”, “we”, “us”). They cover the Neo Flipbook app for Shopify (the “App”), the viewer that displays your flipbooks, and the website at neoflipbook.com. Together these are the “Service”.

By installing or using the Service, you agree to these Terms and to our Privacy Policy. If you’re accepting on behalf of a business, you confirm that you have authority to bind that business. If you don’t agree, don’t install or use the Service.

2. Who can use the Service

The Service is for businesses that run a Shopify store. To use it, you must:

  • be at least 18 years old
  • have an active Shopify store, and accept Shopify’s own terms
  • give us accurate information and keep it up to date

You’re responsible for everyone who uses the App through your Shopify admin, including your staff.

3. The Service

Neo Flipbook turns PDFs, images and Shopify products into page-turning flipbooks that you can show on your store, share by link or embed on other websites. Some features depend on your plan and on your theme. For example, the theme block needs an Online Store 2.0 theme.

We’re always improving the Service, so we may add, change or remove features. If a change significantly reduces a paid feature you rely on, we’ll tell you in advance where we reasonably can. We may offer beta features, which are provided as they are and may change or end at any time.

4. Plans, billing and trials

  • Plans. The App offers a Free plan and paid plans. Current prices, limits and trial periods are shown on the App’s Shopify App Store listing and inside the App.
  • Billing through Shopify. Shopify bills paid plans and adds the charge to your Shopify invoice. Shopify’s billing terms apply, and we never handle your payment details.
  • Renewal. Paid plans renew automatically each billing cycle until you change plans or uninstall the App.
  • Trials. If a plan includes a free trial, you won’t be charged until it ends. Uninstalling during the trial means you won’t be charged.
  • Changing plans. You can upgrade or downgrade at any time. Shopify works out any credit or proration. If you move to a plan with lower limits, your existing flipbooks keep working and stay editable, but you can’t create new ones beyond the new limit.
  • Refunds. Charges are non-refundable, except where Shopify’s policies or the law require a refund.
  • Price changes. We may change prices. We’ll give you at least 30 days’ notice before a new price applies to your plan.
  • Taxes. Prices don’t include taxes. Shopify may add applicable taxes to your invoice.

5. Your content

“Your content” means the PDFs, images, product information, text and settings you add to the Service.

  • You own your content. These Terms don’t transfer any ownership to us.
  • Permission you give us. You give us a worldwide, non-exclusive, royalty-free permission to host, store, copy, process and display your content. We use this permission only to provide the Service to you and to your shoppers. It ends when your content is deleted, apart from copies we must keep by law.
  • Your responsibility. You confirm that you have every right needed to use and publish your content, and that it doesn’t break any law or anyone else’s rights.
  • Published content is public. When a flipbook is visible, anyone with the link can view it, and its files sit at public web addresses. Our Privacy Policy explains how this works. Don’t upload confidential material.
  • Keep your own copies. The Service isn’t a backup system. Keep the original files of anything you upload.

We don’t check content before it’s published. We may remove content, or disable a flipbook, if we reasonably believe it breaks these Terms or the law.

6. Acceptable use

You agree not to use the Service to:

  • publish content that is illegal, fraudulent, defamatory, hateful, sexually explicit or harmful to minors
  • infringe anyone’s copyright, trademark, privacy or other rights
  • distribute malware, phishing pages or deceptive content
  • host files that aren’t part of a flipbook, or use our storage as a general file host or content delivery network
  • get around plan limits, security measures or access controls
  • reverse engineer, decompile or copy the App or the viewer, except where the law allows this
  • overload or disrupt the Service, or access it with automated tools other than those we provide
  • resell or sublicense the Service without our written permission

If you find content that breaks these rules, report it to support@neoflipbook.com.

If you believe content shown through the Service infringes your copyright, email support@neoflipbook.com with:

  • the work you believe is being infringed
  • the link to the flipbook or file
  • your contact details
  • a statement that you believe in good faith that the use isn’t authorised

We’ll review the complaint and may disable the content, and we may tell the merchant who published it.

8. Our intellectual property

The App, the viewer, this website, and the Neo Flipbook name and logo belong to us or our licensors. While these Terms are in effect, we give you a limited, non-exclusive, non-transferable permission to use the App for your Shopify store. You may not use our name or logo in a way that suggests we endorse you, unless we agree in writing.

If you send us feedback or suggestions, we may use them freely and without any obligation to you.

9. Third-party services

The Service relies on Shopify and other providers, such as Cloudflare. Their own terms govern your use of their services. We’re not responsible for third-party services, including any outages, changes or limits they introduce.

10. Availability and support

We work to keep the Service available and fast, but we don’t guarantee that it will be uninterrupted or error-free. Maintenance, provider outages or events outside our control can affect it. You can get support by email at support@neoflipbook.com, and we usually reply within one business day.

11. Suspension and termination

  • By you. You can stop using the Service at any time by uninstalling the App. Uninstalling ends any paid plan from your next billing cycle.
  • By us. We may suspend or end your access, with notice where reasonable, if you seriously or repeatedly break these Terms, if we must do so by law, or if your use puts the Service or other users at risk. We may also stop offering the Service entirely, in which case we’ll give you at least 30 days’ notice.
  • What happens next. When access ends, your flipbooks stop showing. Your data is then deleted as our Privacy Policy describes. Sections 5 (the parts covering responsibility for your content), and sections 8, 12, 13, 14 and 15, continue to apply after these Terms end.

12. Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, whether express or implied. These include warranties of merchantability, fitness for a particular purpose and non-infringement. We don’t promise that the Service will meet your needs, or that it will increase your sales.

13. Limitation of liability

To the fullest extent the law allows:

  • we’re not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if we were told they were possible
  • our total liability for all claims about the Service is limited to the greater of the amount you paid us for the App in the 12 months before the claim, or USD 100

Nothing in these Terms limits liability that the law doesn’t allow to be limited, such as liability for fraud.

14. Indemnity

You agree to defend and compensate us for claims, losses and costs, including reasonable legal fees, that arise from:

  • your content
  • your use of the Service in breach of these Terms
  • your breach of any law or of anyone else’s rights

15. Governing law and disputes

These Terms are governed by the laws of Malaysia. If a dispute arises, please contact us first, and we’ll try to resolve it informally. If we can’t resolve it within 30 days, the courts of Malaysia have exclusive jurisdiction. This doesn’t remove any mandatory rights you have under the laws of the country you’re based in.

16. Changes to these Terms

We may update these Terms. When we do, we’ll change the “Last updated” date at the top of this page. We’ll tell you about material changes in the App or by email at least 15 days before they take effect. If you keep using the Service after that date, you accept the new Terms. If you don’t accept them, uninstall the App.

17. General

  • Entire agreement. These Terms and our Privacy Policy are the whole agreement between you and us about the Service.
  • Severability. If a court finds part of these Terms unenforceable, the rest still applies.
  • No waiver. If we don’t enforce a right, we haven’t given it up.
  • Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets.
  • Events outside our control. We’re not responsible for delays or failures caused by events we can’t reasonably control.
